Track-A-Cell – Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Track-A-Cell (“we”, “us”, “our”) via our website, mobile application or other channels (the “Service”). By registering an account or using the Service you agree to be bound by these Terms.

Definitions

• “User” means any person who registers for an account and uses the Service.
• “Target Number” means a third-party mobile phone number entered by a User for the purpose of tracking via the Service.
• “Consent SMS” means the message sent by us to the Target Number requesting the owner’s consent for location tracking.

Eligibility & Account Registration

1. You must be at least 18 years old (or of legal age in your jurisdiction) to use the Service.
2. When creating an account, you agree to provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3. You agree that any Target Number you submit is entered only if you have obtained explicit permission from the owner/user of that number to: (i) track their device location via the Service; and (ii) receive a Consent SMS.
4. We reserve the right to refuse or suspend service, or to close accounts, at our discretion and without liability.

Service Description

1. The Service allows a User to submit a Target Number; we will send a Consent SMS to that number. Once the owner/user of the Target Number grants consent, the Service provides location tracking (real-time or historical) of the device associated with the Target Number.
2. The accuracy of location information may vary depending on network, device, user permissions and other factors. We do not guarantee perfect accuracy or availability of location data.
3. Any use of the Service that is unlawful, non-consensual, harmful or breaches privacy laws is strictly prohibited and will result in immediate termination of service.

Subscription, Fees & Billing

1. The Service may be offered on a free-trial basis and/or via subscription plans with recurring charges.
2. You agree to pay all applicable fees (including taxes) and authorise us (or our payment processor) to charge your chosen payment method.
3. Your subscription renews automatically at the end of each billing period unless cancelled prior to renewal.
4. To cancel, you must follow the cancellation procedure provided within your account settings or contact support. You are responsible for cancellation in a timely manner; no partial refunds will typically be given for unused portions unless required under law.
5. We reserve the right to change our pricing or billing terms at any time; any such changes will be communicated and will apply from the next billing cycle.

Your Responsibilities & Acceptable Use

1. You warrant that you have lawful rights to track the Target Number and that you will use the Service in a manner consistent with applicable laws.
2. You must ensure the owner/user of the Target Number is properly informed and has given their consent via the Consent SMS process.
3. You must not use the Service for stalking, harassment, malicious surveillance, or any purpose that infringes on a person’s rights.
4. You shall not (nor permit any third-party to):
   • Attempt to override or subvert the Consent SMS process.
   • Send unauthorised or bulk messages via the Service.
   • Reverse-engineer, decompile or tamper with the Service or its components.
   • Use the Service to facilitate or promote wrongdoing or unlawful behaviour.
5. We may monitor usage of the Service, and we may suspend or terminate your access if we suspect misuse or non-compliance with these Terms.

Termination

1. You may terminate your account at any time via your account settings or by contacting us. Termination will be effective at the end of the current billing period unless otherwise stated.
2. We may suspend or terminate your account immediately if you breach these Terms, become insolvent, provide false information, or we suspect unlawful or unethical use.
3. On termination, your access to the Service ends immediately; we may delete or anonymise your data subject to our Data Retention Policy.

Liability & Disclaimers

1. The Service is provided “as-is” and “as-available”. We make no warranties (express or implied) including for accuracy, completeness, reliability or fitness for a particular purpose.
2. We are not responsible for any delays, failures or inaccuracies in location data caused by third-party networks, devices, user permissions or environmental factors.
3. To the fullest extent permitted by law, our aggregate liability for any claim related to the Service shall not exceed the total amount paid by you in the 12-month period preceding the claim. We shall not be liable for consequential, incidental, indirect or special damages (including loss of profits, data, business interruption).
4. Nothing in these Terms shall exclude or limit liability that cannot be excluded under applicable law.

Intellectual Property

1. All intellectual property rights in the Service, the website, software, content and branding are owned by us or our licensors.
2. You are granted a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
3. You must not copy, modify, distribute, licence, sell or create derivative works based on the Service without our prior written consent.

Privacy

1. Your use of the Service is subject to our Privacy Policy [link]. We recommend you review it carefully to understand how we collect, store and process personal and location data.

Changes to Terms

1. We may amend these Terms from time to time. We will post the revised Terms on our website, and the “Last updated” date above will be revised accordingly. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

Governing Law & Dispute Resolution

1. These Terms shall be governed by and construed in accordance with the laws of United Kingdom, without regard to conflict of laws rules.
2. Any dispute arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the competent courts of the UK.
3. If you have a dispute, you agree first to contact our support and attempt to resolve the issue amicably before resorting to formal legal proceedings.

Miscellaneous

1. If any provision of these Terms is held to be invalid or unenforceable, the remainder of the Terms will continue in full force and effect.
2. The failure or delay of either party to enforce any right or remedy under these Terms will not constitute a waiver of that right or remedy.
3. These Terms, together with the Privacy Policy and any other linked policies, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings (oral or written).
